Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Replied (the “Service”), provided by Pravi Ltd, a company registered in England and Wales (No. 15897581) with its registered office at 54 Manor Park, Barnstaple, Devon EX31 2DH (“Pravi”, “we”, “us”, or “our”).

By creating an account, connecting your mailbox, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms, and “you” refers to both you personally and that organisation.

If you do not agree to these Terms, do not use the Service.

1. What Replied does

Replied connects to your work email mailbox (Microsoft Outlook), identifies inbound pitches from founders and other senders, evaluates them against criteria you configure, and prepares draft replies for your review. Replied does not send messages on your behalf — every reply remains a draft in your mailbox until you choose to send it.

We use third-party large language models (currently OpenAI) to evaluate emails and generate draft text. AI-generated output may be inaccurate, incomplete or inappropriate. You are responsible for reviewing every draft before sending and for the content of any message you send from your mailbox.

2. Your account

You must be at least 18 years old and authorised to bind your organisation to use the Service. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly at hello@getreplied.io if you suspect unauthorised access.

3. Mailbox access

To provide the Service, you grant us access to your Microsoft 365 mailbox via the Microsoft Graph API. You confirm that you have the right to grant this access, including any internal approvals required by your employer or organisation.

We use mailbox access to:

• read inbound messages so we can identify and evaluate pitches;
• create draft replies and store them in your Drafts folder;
• apply category labels to organise processed messages;
• move processed messages into folders you configure.

We do not send emails from your account, do not delete messages, and do not access mailbox contents except for the purposes set out above. You may revoke our access at any time from your Microsoft account or by deleting your Replied account.

4. Your data and content

You own your data, including the contents of your mailbox and the criteria, referral funds, draft preferences and other configuration you provide to the Service (together, “Your Content”). You grant us a non-exclusive, worldwide, royalty-free licence to host, process, transmit and display Your Content solely to operate and improve the Service for you.

We will not use the contents of your mailbox to train AI models. We do not sell Your Content. Our processing of personal data is described in our Privacy Policy.

Where Your Content includes personal data of third parties (for example, founders who email you), you confirm that you have a lawful basis to share that data with us for the purposes of providing the Service, and that you will respond to any rights requests from those third parties as the controller of that data.

5. Subscriptions, billing and trials

The Service is offered on a paid subscription basis. Fees, billing intervals and any trial period are shown on our pricing page at the time you sign up. Payment is processed by Stripe; by subscribing you also agree to Stripe's end-user terms.

Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period and you retain access until then. Except where required by law, fees already paid are non-refundable, including for partial periods.

We may offer free trials. We may modify or end trial offers at any time. If you do not cancel before the trial ends, your subscription will begin and your payment method will be charged.

We may change our fees with at least 30 days' notice. Changes apply at the start of your next billing period; if you do not agree to the change you may cancel before it takes effect.

6. Acceptable use

You agree not to:

• use the Service to send spam, harassment, or unlawful communications;
• use AI-generated drafts in any way that misrepresents authorship in a way that violates applicable law;
• attempt to reverse engineer, decompile or extract the source code of the Service;
• scrape, crawl or bulk-extract data from the Service except via features we provide;
• use the Service to build or train a competing product;
• circumvent any rate limits, access controls or security features;
• upload or process data you do not have the right to share with us.

7. Suspension and termination

We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees when due, or use the Service in a way that puts us, other users, or third parties at material risk. Where reasonable, we will give you notice and an opportunity to cure first.

You may terminate your account at any time by cancelling your subscription and deleting your account from your settings. On termination, we will delete or return Your Content in accordance with our Privacy Policy.

8. Changes to the Service and these Terms

We are constantly improving Replied. We may add, change or remove features at any time. We will give reasonable notice of material changes that adversely affect your use.

We may update these Terms from time to time. If we make material changes, we will notify you in-app or by email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

9. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate, complete or appropriate for any particular purpose. You are solely responsible for any decisions you make in reliance on the Service, including any messages you send.

10. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special or exemplary damages, including loss of profits, revenue, data or goodwill, arising out of or in connection with these Terms or the Service, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or in connection with these Terms or the Service in any 12-month period will not exceed the greater of (a) the fees you paid to us in the 12 months preceding the claim, or (b) £100.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Indemnification

You agree to indemnify and hold harmless Pravi and its officers, employees and agents from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any third-party rights.

12. Governing law and disputes

These Terms are governed by the laws of England and Wales. You and we submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or in connection with these Terms or the Service, except that we may seek injunctive relief in any jurisdiction.

13. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is held to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets.
